Hapag-Lloyd Acquires ZIM in $4.2 Billion Deal

German container shipping giant Hapag-Lloyd has agreed to acquire Israeli carrier ZIM Integrated Shipping Services in a $4.2 billion deal, creating a combined fleet of over 400 ships and 3 million TEU capacity.

In a major consolidation move in the container shipping industry, Hapag-Lloyd has announced plans to acquire ZIM Integrated Shipping Services in a $4.2 billion deal. The transaction, which is subject to shareholder and regulatory approvals, will see Hapag-Lloyd pay $35 per share in cash, representing a 58% premium to ZIM's closing share price. According to the terms outlined by ZIM, the deal will result in the creation of a 'New ZIM' carve-out that will continue to operate as an independent publicly-traded company focused on specialized and niche container shipping services. Hapag-Lloyd, meanwhile, will absorb the core ZIM container shipping business, adding significant scale to its global operations. 'This transformative transaction will create a leading global container shipping company with enhanced scale, diversification and financial strength,' said Rolf Habben Jansen, CEO of Hapag-Lloyd. 'The combination of our two businesses will allow us to provide even better service to our customers worldwide.' The merger, if approved, will create a combined fleet of over 400 containerships with a total capacity of more than 3 million TEUs, making the new entity one of the largest container lines in the world. Industry analysts say the deal reflects the ongoing trend of consolidation in the container shipping sector as carriers seek to boost efficiency and competitiveness in the face of volatile market conditions. 'This is a bold move by Hapag-Lloyd that will reshape the global container shipping landscape,' commented Lars Jensen, CEO of Vespucci Maritime. 'It demonstrates the continued appetite for M&A activity as carriers look to gain scale and market share.' The transaction is expected to close in the second half of 2023, subject to the necessary approvals.
